Hartshorn - Hook are renowned for producing world-class immersive and traditional theatre and providing services to the live entertainment industry, such as Ticketing and Marketing, as well as our hospitality brands, such as The Lucky Club and The Farrier, Camden. Immersive Everywhere specialises in IP acquisition and licensing, and the creation of world class immersive live events.

Job Role: Head of Legal & Business Affairs

Location: 52 Davies Street. London. W1K 5JH

Salary: GBP60,000 per annum

What are we looking for?

Purpose of Role

- To lead on Legal and Business Affairs matters access the group of companies, as an ambassador and trusted advisor to the Joint CEOs and senior management and ensuring that the function supports the group as a sector leader
- To lead the legal & business affairs service provision, ensuring the range and quality of services meet the needs of the organisation
- To oversee an effective knowledge management infrastructure within Business Affairs to support the core services and rights
- If required, to recruit team members into a legal team, overseeing and driving forward their learning and professional development
- As Company Secretary for the group of companies, ensure that each company is compliant with all financial and legal requirements, as well as maintaining its high standards of corporate governance

Leadership of Business Affairs

- Ensure the function reflects and supports company strategy and is current and fit for purpose; review and develop new initiatives as needed
- Define the key services according to the strategy and needs of the organisation
- Act as a trusted advisor to the Joint CEOs and senior management on all legal and business affairs matters, with an emphasis on risk management, best practice and compliance
- Maintain the department code of practice, and implement best practice procedures
- Act as an ambassador for the company internally and externally for the designated services, maintaining professional networks and contacts relevant to the sector
- Guide the Chairman and the Directors to ensure the companies are operating in accordance with rules and regulations
- Take responsibility for the administration of the companies, for example: maintaining statutory books, including registers of members, directors, and secretaries, and shareholders with all their past and present shareholdings, organising board meetings and annual general meetings, preparing agendas and taking minutes
- File necessary documents with Companies House ensure compliance

Service Delivery

- Undertake thorough drafting and reviewing contracts both internal (within the group) and external, undertaking / supporting negotiations with key clients
- Oversee the provision of key services to the organisation, across all aspects of service delivery including scope, quality and resourcing
- Manage workflows and team resources effectively to ensure business priorities and the needs of key clients are met
- Manage a professional advisory service to key clients and stakeholders on the legal and commercial considerations and frameworks underpinning key business decisions
- Lead on the direction, design and delivery of a comprehensive contracting strategy and framework for IE and management of IE`s existing rights management strategy
- Provide an effective service to support risk management, and working on business critical or potential litigation issues
- Lead on compliance and regulatory matters, including, but not limited to, key areas for IE and GDPR
- Advise and support commercial and business transactions and negotiations; manage IE`s IP portfolio both domestically and internationally.
- Deliver expertise in rights management
- Oversee and maintain an effective infrastructure, tools and systems in the team to support knowledge management and service delivery, with:
- A contracts database as a central and comprehensive data source on the rights position of all IE productions
- Up to date and accurate record keeping
- Up to date contract templates and document library
- Guidelines and best practice processes
- Compliance with all confidentiality and data management (GDPR) requirements
- Ensure the service provides a level of knowledge sharing with the team and internal clients, and learning sessions
